Terms and Conditions

These Terms and Conditions for the Use of the Site (¨Şartlar¨) are valid between you (“User”), (Ege Teknopark Teknoloji Geliştirme Bölgesi referred to as the “Company” or “we”) and regulates the terms and conditions of using the services on our site.

Your access to the Site, utilisation of the Services and use of the Service are subject to your acceptance and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors and users who access or use the Site and the Service.

The User declares and undertakes that he/she has read and accepted all the terms and conditions contained in these Terms and Conditions. In addition, the User declares and undertakes that he / she has read and accepted the Privacy and Personal Data Protection Policy and Cookie Policy on our website.

Our Company may change these Terms and Conditions at any time by publishing the amended version on its website. The amended version of the text becomes effective upon the Company’s publication of the amendment on its website. As a result of the evaluation of such changes, if the User does not wish to be bound by these new terms, he/she is not obliged to accept these changes. However, if the User does not accept the new terms, he/she will not be able to benefit from the services. If the User continues to use the Site and services after the change is notified to the User, it means that the User accepts the new terms.

With the acceptance of these Terms and Conditions:

Natural person Users accept and undertake that they are of legal age, have actual capacity and are competent to accept these Terms and Conditions.

Legal entity Users accept and undertake that these Terms and Conditions have been approved by the persons authorised to represent them and that they are bound by the Terms and Conditions.

Users declare and warrant the accuracy and authenticity of the registration information provided to the Company. Users are also obliged to maintain the accuracy of such information. The user guarantees that he/she is legally competent to assume full responsibility for the selection, use and access of the services offered on the site.

Comments and Definitions

Interpretation

Words with capitalised initial letters have the meanings defined below. The following definitions shall have the same meaning regardless of whether they are used in the singular or plural.

Definitions

For the purposes of these Terms and Conditions:

Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interests or other securities entitled to vote in the election of directors.

Country: used instead of Republic of Turkey

Company (referred to as “Company”, “Us”, “We”, “Us” or “Our” in this Agreement) means İzmir Teknoloji Geliştirme Bölgesi A.Ş.

Device means any device that can access the site and services, such as a computer, mobile phone or digital tablet.

Service Means any service offered by the Company through the Website.

Terms and Conditions (also referred to as “Terms”) means these Terms and Conditions which constitute the entire agreement between You and the Company regarding the use of the Website and the Service.

Third Party Social Media Service means any service or content (including data, information, products or services) provided by a third party that may be displayed, included or made available under the Service.

Termination

Our Company may immediately terminate or suspend your access to the Site and use of the Service for any reason whatsoever, including but not limited to any breach of these Terms and Conditions by you, without prior notice or liability. In addition, our Company may impose restrictions on the use of the Site and the Service, as well as block access to some or all of the Service offered without any notice and without liability. The User may utilise the Service in accordance with the applicable laws.  The Customer may not use the Service and products for the benefit of third parties.

Warranty

The Service is provided to You “AS IS” and without warranty of any kind, together with all existing faults and defects. The Company makes no warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and no representation that the Service will be uninterrupted or error-free. Without limiting the foregoing, the Company makes no warranties or representations or warranties that the Service will meet your requirements, be compatible with or work with any other software, applications, systems or services, meet any standard of performance or reliability, or correct any errors or defects.

The User shall not (i) use any material or content on the Site or the Services in any manner that violates any intellectual property rights, rights in rem, confidentiality obligations or any other rights of any third party. (ii) not to violate any law, regulation or any other similar legislation; (iii) not to engage in any harmful, fraudulent, misleading, threatening, corrupt, corrupt, harassing, unfair, degrading, indecent, insulting or inappropriate behaviour; (iv) not represent any natural or legal person, including the Company’s employees and representatives, in an unauthorised manner; (v) not use viruses, Trojan horses, worms, time bombs or any other harmful computer code, files or programs; (vi) not engage in any behaviour that may jeopardise his or someone else’s account; (vii) will not attempt to obtain password, account or other security information from another user by any means; (viii) will not threaten the security of any computer network, crack any password or security crypto code; (ix) will not use any automatic reply method or spam on the Service or interfere with the proper functioning of the Service; (x) will not decompile, reverse engineer or attempt to obtain the source code or basic ideas or information of the Service or the Service. In case of violation of the above-mentioned conditions, the Company may terminate the User’s use of or access to the Service.

The User may also have other rights under applicable law. If this limited liability provision is contrary to the applicable law, this article will be revised to comply with the applicable legislation.

Applicable Law

Turkish Law shall govern the interpretation and application of these Terms.

In case of disputes arising from these Terms or the Service, you agree to resolve the dispute amicably by first contacting the Company. In case of disputes that cannot be resolved despite this, Izmir courts and enforcement offices shall be competent.

Severability and Waiver

Divisibility

If any provision of these Terms is held to be unenforceable or invalid, such provision will be partially invalidated to the extent necessary for the Terms to continue in full force and effect, but the remaining provisions will continue to apply.

Waiver

Except as provided herein, the failure to exercise a right or to require the performance of an obligation under these Terms shall not affect a party’s right to exercise such right or require any such thing at any time thereafter, nor shall the waiver of a right of objection give rise to a waiver of a subsequent right of objection.

Indemnity

The User shall hold the Company and its employees harmless from any claims and demands (including, but not limited to, all damages, debts, settlements, costs and attorneys’ fees) made by third parties (including, without limitation, all damages, debts, settlements, costs and attorneys’ fees) arising from the User’s access to the Site and the Service, use of the Service, violation of the Terms, or violation of the intellectual property or other rights of other persons or organisations as a result of the use of the account belonging to the User by the User or third parties, and shall indemnify the Company and its employees for all damages arising.

Limitation of Liability

To the extent permitted by applicable law, the Company, its respective employees, directors, officers, workers or agents shall not be liable for any damages arising out of the Site, the Service or any liability arising out of the subject matter of these Terms and shall not be liable for any damages arising out of negligence.

Intellectual and Industrial Property Rights

The Company is the sole and exclusive owner of all kinds of texts, graphics, articles, articles, photographs, pictures, drawings, software, content and other materials (“Content”) or any Service provided on the Site and Services or displayed on the Services. Intellectual and industrial property rights regarding all such Content shall continue to belong to the Company.

The User is obliged to comply with all copyright notices, information and restrictions on the Content accessed through the Service provided by the Company. The User may not use, copy, imitate, modify, transform, publish, produce derivatives of, publish, transmit, distribute, perform, upload, display, licence, sell or exploit for any other purpose, and may not use these contents in a way that violates the rights of third parties, unless there is an express and written consent given by the legal right holder. The User may not store or copy any part of any Content in any way, except for its own information, content and records.

The User shall ensure that all registration information is correct and up-to-date and shall be responsible for all activities and actions to be performed within the scope of the Service.
